KK has option to put BOD (board of director) or not. Without BOD, even one director is ok for KK. It is decided in AOl.
1. In the case of KK with board of directors,
3 directors and 1 auditor are required for a KK. The representative director must be selected in board of directors. The multiple number of representative director is also ok unless single number of representative director is mentioned in AOI. Anyone leaving out of Japan can become directors as well as representative directors.
2. In the case of KK without board of directors,
Even 1 director is ok for KK. The representative director can be selected by shareholder meeting or by directors. However, if there is no selection for representative director, all directors are becoming representative directors automatically as well. Anyone leaving out of Japan can become directors as well as representative directors.
